As 2023 draws to a close, so too does the 2022-23 Self Assessment deadline. Our theme this week is ‘last minute tax returns’ and we feature a number of guides to help answer those last minute FAQs including our top tips of things to consider. HMRC has a new Employer Bulletin and has published its responses to its VAT energy-saving materials relief. We have news of further VAT 'nudge letters', and more letters to taxpayers identified by HMRC through the disclosures made in the 'Pandora Papers'.

Although many of us are very much still focused on the 2022-23 tax year, keep in mind that 31 January 2024 is also the deadline for making a number of claims in respect of earlier years, such as relief for trading losses, and Business Asset Disposal Relief (BADR) for the 2021-22 tax year. We have guides on these topics below which tell you all you need to know.

The end of January is also the deadline to amend 2021-22 tax returns, so check if any provisional figures were submitted last year which still need to be amended, as this can easily be overlooked.

We have a summary of the OOCL UK Branch case, a cautionary tale of 'bah humbug' by HMRC in which a generous payment of bonuses made by a company's ex-chairman to his past employees was found to be employment income and thus subject to PAYE and National Insurance Contributions (NICs).

Thinking of NICs, very soon in New Year, on 6 January 2024, the main rate of primary NICs decreases to 10%. Now is a good time for those involved in payroll to make sure that their software will be updated in time to implement the change.

Finally, in recent weeks we have noted a number of cases before the Tribunals considering the valuation of AIM shares. Our Companies: Share Valuation guide analyses these decisions and the key principles of share valuation.

Former shareholder’s payments to employees were taxable 
In OOCL UK Branch v HMRC [2023] TC09007, the First Tier Tribunal (FTT) found that payments made to employees, funded by a company’s former majority shareholder out of sale proceeds as a gesture of thanks, were made by reason of employment. PAYE and NICs applied.
